Agentio Creator Referral Program Terms

1. Introduction; Acceptance

1.1 These Creator Referral Program Terms (the "Referral Terms") govern the Agentio Creator Referral Program (the "Program"), operated by Agentio, Inc., a Delaware corporation with offices at 295 5th Avenue, Suite 1102, New York, NY 10016 ("Agentio," "we," "us"). The Referral Terms are part of, and incorporate, the Agentio Terms of Service (the "Terms"), including the Terms' dispute resolution, arbitration, and class action waiver provisions. Capitalized terms used but not defined here have the meanings given in the Terms.
1.2 You accept these Referral Terms when you opt into the Program in your Account, and in any event by participating in the Program: generating or sharing a Referral Link, inviting a potential Creator through the Service, or joining the Service waitlist through a Referral Link. If these Referral Terms conflict with the Terms with respect to the Program, these Referral Terms control.
1.3 These Referral Terms apply to referrals attributed on or after the date they are first posted. Referrals attributed before that date remain governed by the referral provisions in effect when the referral was made, and nothing in these Referral Terms reduces any referral payment already earned or accrued under those provisions.

2. Warning for United Kingdom Participants

If you are resident in the United Kingdom, in compliance with regulation 3 of the Trading Schemes Regulations 1997 (as amended) and section 120(1) of the Fair Trading Act 1973, please read the following warning in respect of the Program:

  • It is illegal for us or for a participant in the Program (including Referring Creators and Referred Creators) to persuade anyone to make a payment by promising benefits from getting others to join the Program.
  • Do not be misled by claims that high earnings are easily achieved from participation in the Program.
  • Although we do not demand any payment from participants for the purposes of participating in the Program, we are legally required to inform you that if you enter into this agreement, you have 14 days in which to cancel and get your money back.

3. Definitions

"Referring Creator" means a Creator with an Account in good standing who shares their Referral Link under the Program.

"Referral Link" means the unique link or code Agentio makes available in a Creator's Account for use in the Program.

"Referred Creator" means a person who joined the Service waitlist through a Referring Creator's Referral Link, is attributed to that Referring Creator under Section 8, and creates an Account.

"Activation" means the Referred Creator's first accepted bid on the Service.

"Referral Window" means the twelve (12) months beginning on Activation.

"Qualified Earnings" means amounts that Agentio makes available for payout to the Referred Creator under the Terms for Creator Content and related work delivered during the Referral Window, as reflected in Agentio's records, whether or not the Referred Creator has completed payment-provider onboarding or withdrawn the funds, excluding: (i) amounts refunded, charged back, voided, or converted to credits (including amounts the Referred Creator is required to refund under the Terms); (ii) prepaid media and similar pass-through amounts; and (iii) amounts attributable to billing periods or license terms that end after the Referral Window. Agentio's records and earnings-recognition methodology are controlling. Agentio will make a summary of its earnings-recognition methodology available to Referring Creators upon reasonable request.

"Referral Bonus" means five percent (5%) of Qualified Earnings. The Referral Bonus is not subject to a per-Creator or aggregate cap.

"Boost" means an additional fixed payment Agentio may offer under the Program, presented in the Service as "Creators in Demand": the amount displayed in the Service next to an identified YouTube channel, earned by referring the person who operates that channel, on the conditions in Section 7.

4. How the Program Works

4.1 An eligible Creator may generate a Referral Link in their Account and share it with potential new Creators. If a person joins the Service waitlist through that Referral Link, later creates an Account, and reaches Activation, the Referring Creator earns the Referral Bonus on the Referred Creator's Qualified Earnings during the Referral Window.

4.2 The Referral Bonus is paid by Agentio. We bear the cost of the Referral Bonus, not the Referred Creator: it is not deducted from, and does not reduce, the Referred Creator's earnings, rates, or payment terms in any way. The Referred Creator does not receive a Program payment.

4.3 You may share your Referral Link directly, or invite a potential Creator by providing their contact information in the Service, in which case Agentio sends the invitation and follow-up reminders on your behalf, identifying you as the referrer. Section 10.1(h) governs whose contact information you may provide.

5. Eligibility

5.1 To participate as a Referring Creator, you must: (i) be at least eighteen (18) years old; (ii) maintain an Account in good standing (an Account suspended or terminated by Agentio, or deleted by you, is ineligible); and (iii) before any Referral Bonus or Boost payment is paid, complete onboarding with the Service's third-party payment provider, including providing the tax documentation it requires (e.g., IRS Form W-9 or applicable Form W-8).

5.2 A referral is eligible only if the Referred Creator: (i) is at least eighteen (18) years old; (ii) is new to the Service, meaning they had not joined the Service waitlist or created an Account before joining the waitlist through the Referring Creator's Referral Link; and (iii) is attributed to the Referring Creator under Section 8.

5.3 Managers, agents, management companies, and other representatives of a Creator may not participate in this Program, whether directly or indirectly, including with respect to Creators they represent.

6. Referral Bonus; Payment

6.1 The Referral Bonus accrues as Qualified Earnings arise: when Agentio makes a payment for in-Window work available to the Referred Creator, Agentio calculates the corresponding Referral Bonus.

6.2 Accrued Referral Bonuses and Boost payments are paid through the Service's third-party payment provider on Agentio's regular payout cycle, subject to Section 5.1(iii). Amounts accrue without interest.

6.3 If Qualified Earnings are later refunded, charged back, voided, or converted to credits, the corresponding portion of the Referral Bonus is reversed, and Agentio may deduct it from future payments to the Referring Creator.

6.4 The Referring Creator's right to accrue Referral Bonuses with respect to a Referred Creator ends at the earlier of: (i) the end of the Referral Window; (ii) termination or suspension of the Referring Creator's or Referred Creator's Account under the Terms; or (iii) termination of the Referring Creator's participation under Section 11. Where an Account is suspended or terminated while Program payments are in flight, Agentio will determine in good faith whether those payments are made.

7. Boosts (Creators in Demand)

7.1 From time to time, Agentio may list in the Service, under "Creators in Demand," specific YouTube channels whose operators are not yet on the Service, together with a fixed Boost amount for each channel. Agentio sets Boost amounts by reference to each channel's recent viewership, and amounts may differ by channel.

7.2 A Boost is earned when all of the following occur: (i) a person joins the Service waitlist through your Referral Link and is attributed to you under Section 8; (ii) that person creates an Account and connects the listed YouTube channel to it (that exact channel, not another channel they operate); and (iii) the Referred Creator completes their first Ad in accordance with the Terms. The Boost becomes payable when Agentio makes the payment for that Ad available to the Referred Creator, whether or not the Referred Creator has completed payment-provider onboarding or withdrawn it. A Boost is payable once per listed channel, to the Referring Creator to whom the channel's operator is attributed.

7.3 The Boost amount that applies is the amount displayed for the channel at the time the person joins the waitlist through your Referral Link. Agentio may add or remove channels and change displayed amounts at any time, with prospective effect only. Those changes do not affect a Boost for a person who has already joined the waitlist through your Referral Link, which remains payable if the conditions in Section 7.2 are met in the ordinary course.

7.4 A Boost is in addition to the Referral Bonus arising from the same referral. Boosts accrue and are paid in the same manner as Referral Bonuses under Section 6 and are subject to Sections 10 through 12. If the Ad on which a Boost was earned is refunded, charged back, voided, or cancelled, that Ad does not complete the Boost, and any Boost already paid on it is reversed in the same manner as Section 6.3; the Referred Creator's next completed Ad qualifies for the Boost instead.

8. Attribution

8.1 A person is attributed to the Referring Creator whose Referral Link was used when that person first joined the Service waitlist. Attribution is determined once, at waitlist joining, and does not change afterward: a Referral Link presented later, including at Account creation, has no effect, and a person who joined the waitlist without a Referral Link cannot later be attributed to any Referring Creator.

8.2 Once attributed, a referral remains attributed to that Referring Creator however the person is later admitted to the Service, including by direct invitation from Agentio.

8.3 Attribution depends on the Referral Link actually being used at waitlist joining. If a person joins the waitlist other than through your Referral Link, or uses settings or software that prevent Agentio from recognizing it (see our Privacy Policy regarding cookies and similar technologies), the referral cannot be attributed and no Referral Bonus or Boost will be payable.

8.4 If a Referred Creator creates more than one Account, Referral Bonuses accrue only on Qualified Earnings in the first-registered attributed Account.

8.5 Agentio's records are conclusive on attribution. Agentio will resolve attribution questions in good faith, and its determination is final.

8.6 The Service also offers referral links to Brands under a separate program. Each person is attributed to at most one referral link: the link used at waitlist joining controls. A person who joined the waitlist through a Brand's referral link is not attributed to any Referring Creator, and no Referral Bonus or Boost is payable with respect to them.

9. Earnings Visibility; Consent

9.1 What the Referring Creator can see. The Program includes a referral dashboard. From the time a person joins the waitlist through your Referral Link, you can see that person's name and their progress status in the Program as labeled in the Service (for example, "in review," "joined," "ready to earn," "earning," and "fully paid") and, once they begin earning, the total Program payments (Referral Bonus and any Boost, combined) generated by that Referred Creator as they accrue.

9.2 What that means. Because the Referral Bonus is a fixed percentage of Qualified Earnings, the Program payment amounts shown to the Referring Creator reflect, and can be used to estimate, the Referred Creator's Qualified Earnings during the Referral Window. Joining the waitlist through a Referral Link therefore means your Referring Creator will have visibility into this measure of your earnings on the Service during the Referral Window.

9.3 Consent. By joining the waitlist through a Referral Link, the Referred Creator consents to Agentio disclosing the information described in Section 9.1 to their Referring Creator. A person who prefers not to share this visibility can join the waitlist without a Referral Link. Any Referred Creator may withdraw this visibility as described in Section 9.5.

9.4 What is not shared. Agentio does not show the Referring Creator: the identity of Brands or deal terms, or earnings outside Qualified Earnings; amounts shown may reflect individual payments. After the Referral Window ends, no further amounts accrue or are added to the dashboard; the dashboard continues to show the Referred Creator's name, a final status (such as "fully paid"), and the total Program payments generated during the Referral Window.

9.5 Withdrawing consent. Any Referred Creator may withdraw this consent at any time through their Account settings or by contacting support@agentio.com. Withdrawal is permanent and cannot be reversed. Upon withdrawal, Agentio will stop displaying information associated with that Referred Creator on the Referring Creator's dashboard (the Referring Creator will see only aggregate Program figures). Withdrawal does not affect the Referring Creator's right to be paid the Referral Bonus or any Boost, or Agentio's processing of the underlying data to calculate, pay, and account for it.

9.6 Referring Creator obligations. The Referring Creator may use information visible through the Program only in connection with their participation in the Program. The Referring Creator may not publish, share, or otherwise disclose any Referred Creator's bonuses or earnings without Agentio's and that Referred Creator's prior written approval.

9.7 Reciprocal notice. The Referring Creator's name is shown to the Referred Creator when they join the waitlist through the Referral Link. Agentio notifies the Referring Creator when a Referred Creator joins, when their Referral Window opens, and when Program payments are made, and may send either party other notices about the other's Program activity.

10. Program Conduct

10.1 When participating in the Program, you will not:

(a) share Referral Links other than personally and directly (no bulk distribution, purchased placement, spam, or automated posting; for purposes of clarity, sharing Referral Links on your own social media accounts is permitted);

(b) run paid advertising against Agentio's name, marks, or confusingly similar terms, or use search-engine advertising to share or promote your Referral Link;

(c) make any statement suggesting that any Creator will earn any particular amount, or any amount, on the Service or through the Program (you may share Program materials that Agentio publishes, only as presented and with their stated assumptions);

(d) fail to clearly disclose, when promoting your Referral Link, that you earn a referral bonus if the recipient joins (for example: "I earn a bonus from Agentio if you join with my link");

(e) refer yourself, your own entities, or entities under common ownership or control with you, refer any person whose Account you own or operate or in whose earnings you share, or use fake, duplicate, or recycled Accounts;

(f) misrepresent your relationship with Agentio, impersonate Agentio, or give the impression that Agentio is sharing or promoting your Referral Link;

(g) use the Program in violation of the Terms, applicable law, or the rules of any platform where you share your Referral Link; or

(h) provide any person's contact information for an invitation under Section 4.3 unless you know that person and they have agreed to be contacted about Agentio, and never from purchased, rented, or scraped lists.

11. Fraud; Verification; Suspension

11.1 Agentio may withhold Referral Bonuses and Boost payments while it investigates activity it reasonably suspects violates these Referral Terms. Upon Agentio's request, you must disclose the methods by which you share your Referral Link and provide ID and other information reasonably required to verify a referral, an Account relationship, or the person to whom any Referral Bonus or Boost payment should be paid. Failure to provide requested information may forfeit the amounts associated with the relevant Referred Creator or Boost.

11.2 Agentio may suspend or terminate a Creator's participation in the Program for violation of these Referral Terms or the Terms. If participation is terminated for fraudulent referral activity, all associated Referral Bonuses and Boost payments (accrued or not) are forfeited and may be recovered or offset. If participation ends for other reasons, amounts accrued on bona fide referrals before termination will be paid.

12. Taxes

Referral Bonuses and Boost payments are income to the Referring Creator. Payment is conditioned on the Referring Creator having provided the tax documentation required by the Service's third-party payment provider (e.g., Form W-9 or applicable Form W-8). Referral Bonuses and Boost payments are inclusive of any applicable indirect taxes (including VAT, GST, or sales taxes) that are or become chargeable on any supply made by the Referring Creator in connection with the Program. Agentio will file information returns (such as IRS Form 1099) where required and will withhold only where required by law. Consistent with the Terms, the Referring Creator is solely responsible for all taxes on Referral Bonuses and Boost payments.

13. Privacy

Agentio's collection, use, and disclosure of personal information in connection with the Program, including the disclosures described in Section 9, are described in the Agentio Privacy Policy, including its Notice of Financial Incentive for California residents.

14. Changes to the Program; Termination

14.1 Agentio may modify these Referral Terms or the Program, or close the Program to new referrals, at any time by posting updated Referral Terms. Changes apply prospectively.

14.2 No change will: (i) reduce Referral Bonuses or Boost payments already accrued; (ii) reduce the rate, shorten the Referral Window, or impose a per-Creator or aggregate cap on the Referral Bonus, applicable to a Referred Creator already attributed to a Referring Creator as of the date of the change; or (iii) defeat a Boost protected under Section 7.3, except as required by law or as provided in Section 11 (fraud). If Agentio terminates the Program entirely, open Referral Windows will run to completion under the Referral Terms in effect when the referral was attributed.

15. General

15.1 Participation in the Program does not create an employment, agency, partnership, or joint venture relationship between you and Agentio, and does not authorize you to bind Agentio.

15.2 You may not assign or transfer your rights under these Referral Terms, including any right to Referral Bonuses or Boost payments, except as permitted under the Terms.

15.3 The Program is void where prohibited. Where a Program feature is unavailable in your jurisdiction, Agentio will say so in the Service.

15.4 Any dispute arising out of or relating to the Program or these Referral Terms is subject to the Terms' governing law (New York), venue, arbitration, and class action waiver provisions.
